Terms of Service

Welcome to Viyaah. Please read these Terms of Service ("Terms," "Agreement") carefully before using the Viyaah platform located at https://viyaah.app (the "Service"), operated by Juice Automation ("Viyaah," "Company," "we," "us," or "our"), founded by Justin Dosanjh, based in British Columbia, Canada.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

  • "Account" means the user account you create to access the Service.
  • "Content" means any text, images, photos, data, information, or other materials you upload, submit, or create through the Service, including wedding website content, guest lists, vendor details, budget information, and RSVP data.
  • "Free" means the no-cost plan providing limited access to the Service's features.
  • "Paid Tier" means the Pro plan ($249 CAD) or the Premium plan ($449 CAD), each a one-time purchase granting expanded access to the Service's features.
  • "User," "you," or "your" means any individual who accesses or uses the Service.
  • "Wedding Website" means the customizable web page(s) generated through the Service for your wedding.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into this Agreement. If you are using the Service on behalf of another person or entity, you represent and warrant that you have the authority to bind that person or entity to these Terms.

3. Account Registration

3.1 Account Creation

To use the Service, you must create an Account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.

3.2 Account Security

You agree to notify us immediately at justin@juiceautomation.com if you become aware of any unauthorized use of your Account. We are not liable for any loss or damage arising from your failure to protect your Account credentials.

3.3 One Account Per Wedding

Each Account is intended for planning a single wedding event. Creating multiple free Accounts to circumvent plan limitations is a violation of these Terms.

4. Service Plans and Pricing

4.1 Free

The Free plan provides limited access to the Service at no cost. Free plan features and limitations are as described on our pricing page and may include, but are not limited to:

  • Restrictions on the number of guests, vendors, or features available.
  • Limited wedding website customization options.
  • Viyaah branding displayed on your wedding website.

We reserve the right to modify, reduce, or discontinue Free plan features at any time, with reasonable notice where practicable.

4.2 Paid Tiers

Paid Tiers are available as one-time purchases (not subscriptions):

Prices are in Canadian Dollars (CAD). Applicable taxes may apply based on your jurisdiction. Feature details for each plan are described on our pricing page at https://viyaah.app and are incorporated into these Terms by reference.

4.3 Payment Processing

All payments are processed securely through Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy. We do not directly store your full payment card details.

4.4 Plan Access Duration

Once purchased, Paid Tier access remains active for the lifetime of the Service, subject to these Terms. "Lifetime" means for as long as Viyaah continues to operate the Service in its current or a substantially similar form. In the event of a permanent discontinuation of the Service, we will provide at least 90 days' notice and offer a data export option.

5. Refund Policy

5.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee on all Paid Tier purchases. If you are not satisfied with your purchase for any reason, you may request a full refund within 30 calendar days of your purchase date.

5.2 How to Request a Refund

To request a refund, email us at justin@juiceautomation.com with:

  • Your name and the email address associated with your Account.
  • Your purchase date and plan purchased.
  • The reason for your refund request (optional, but helpful for us to improve).

5.3 Refund Processing

Approved refunds will be processed within 10 business days to the original payment method. Upon refund, your Account will be downgraded to the Free Tier.

5.4 After 30 Days

Refund requests made after the 30-day period will be reviewed on a case-by-case basis at our sole discretion. We are under no obligation to issue refunds after the 30-day guarantee period.

6. User Content

6.1 Ownership

You retain all ownership rights to the Content you create, upload, or submit through the Service. Viyaah does not claim ownership of your Content.

6.2 License Grant

By submitting Content to the Service, you grant Viyaah a limited, non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and transmit your Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete your Content or your Account, except for Content that has been shared publicly (e.g., on your Wedding Website) and cached or copied by third parties.

6.3 Responsibility for Content

You are solely responsible for all Content you submit through the Service. You represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to use and authorize us to use your Content.
  • Your Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
  • Your Content complies with these Terms and all applicable laws.

6.4 Content Removal

We reserve the right, but are not obligated, to review, monitor, or remove Content that violates these Terms or that we deem objectionable, at our sole discretion and without prior notice.

7. Acceptable Use

You agree not to use the Service to:

1. Violate any law or regulation, including privacy, data protection, intellectual property, anti-spam, or export control laws. 2. Upload or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. 3. Impersonate any person or entity, or falsely represent your affiliation with any person or entity. 4. Interfere with or disrupt the Service, servers, or networks connected to the Service, including through the use of viruses, bots, or denial-of-service attacks. 5. Attempt to gain unauthorized access to any portion of the Service, other Accounts, or any systems or networks connected to the Service. 6. Scrape, harvest, or collect information from the Service through automated means without our express written permission. 7. Use the Service for any purpose other than wedding planning, including but not limited to commercial solicitation, spam, or advertising unrelated to your wedding event. 8. Resell, sublicense, or redistribute access to the Service or any Paid Tier features. 9. Reverse engineer, decompile, or disassemble any part of the Service. 10. Circumvent any limitations or restrictions of the Free Tier, including by creating multiple Accounts.

We reserve the right to suspend or terminate your Account immediately if we reasonably believe you are in violation of this Section 7.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, code, features, functionality, logos, trademarks, and documentation (excluding your Content), is owned by Juice Automation and is protected by Canadian, United States, and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. This license does not permit you to copy, modify, distribute, or create derivative works of any part of the Service.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation or compensation to you.

9. Third-Party Services

The Service integrates with or may link to third-party services, including but not limited to Supabase (backend/database), Stripe (payment processing), and analytics providers. Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

10. Availability and Modifications

10.1 Service Availability

We strive to maintain the Service's availability but do not guarantee uninterrupted, error-free, or secure access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10.2 Modifications to the Service

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. For Paid Tier users, we will not materially reduce the core features of your purchased plan without providing reasonable notice and, where feasible, an alternative or a proportional refund.

10.3 Modifications to These Terms

We may revise these Terms at any time. When we make material changes, we will update the "Last Updated" date and notify you via email or a prominent notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

11. Termination

11.1 Termination by You

You may close your Account at any time by contacting us at justin@juiceautomation.com or through the Account settings in the Service. Upon termination, your right to use the Service ceases immediately. We will delete your Content in accordance with our Privacy Policy.

11.2 Termination by Us

We may suspend or terminate your Account at any time, with or without cause, and with or without notice, if:

  • You breach these Terms.
  • We are required to do so by law.
  • We reasonably believe your conduct may expose Viyaah, our users, or third parties to legal liability or harm.
  • We discontinue the Service.

11.3 Effect of Termination

Upon termination:

  • Your license to use the Service is immediately revoked.
  • We may delete your Content within 30 days, unless retention is required by law.
  • If you are a Paid Tier user and your Account is terminated by us without cause, you may be eligible for a proportional refund at our discretion.
  • Sections 6.1, 8, 12, 13, 14, 15, and 16 survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • The Service will meet your specific requirements.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the Service will be accurate or reliable.
  • Any errors in the Service will be corrected.

Viyaah is a wedding planning tool. We are not a wedding planning agency, vendor, or service provider. We do not guarantee the quality, reliability, or performance of any vendors you track through the Service. All vendor relationships are solely between you and the vendor.

13. Limitation of Liability

13.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIYAAH, JUICE AUTOMATION, JUSTIN DOSANJH, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Service.
  • Any unauthorized access to or alteration of your Content or data.
  • Any conduct or content of any third party on or through the Service.
  • Any errors, bugs, or interruptions in the Service.

13.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO VIYAAH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

13.3 Basis of the Bargain

You acknowledge that the limitations in this Section 13 reflect a reasonable allocation of risk and are a fundamental part of the basis of the bargain between you and Viyaah. The Service would not be provided without these limitations.

14. Indemnification

You agree to indemnify, defend, and hold harmless Viyaah, Juice Automation, Justin Dosanjh, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.
  • Your Content.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including intellectual property or privacy rights.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at justin@juiceautomation.com and attempt to resolve the dispute informally for at least 30 days.

15.3 Jurisdiction and Venue

If a dispute cannot be resolved informally, you agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of competent jurisdiction located in British Columbia, Canada. You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

15.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms displayed at the time of purchase, constitute the entire agreement between you and Viyaah regarding the Service and supersede all prior agreements, representations, and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, power failures, Internet or telecommunications failures, or third-party service provider outages.

16.6 Notices

All notices to Viyaah under these Terms must be sent to justin@juiceautomation.com. We may send notices to you at the email address associated with your Account. Email notices are deemed received 24 hours after sending.
